Terms of service

These terms form the agreement between Codamis Inc., which develops and operates DojoMasterPro, and the school, dojo, club or organization that creates a DojoMasterPro account, hereinafter the "Client".

The person who creates or activates the account declares being authorized to act on behalf of the Client.

By creating an account, checking the acceptance box and using DojoMasterPro, the Client accepts these terms as well as our Privacy policy.

DojoMasterPro is intended for professional use by organizations operating, among other things, a martial arts school. It is not intended for personal or family use independent of a client organization.

1. The service

DojoMasterPro is an online management platform designed to let martial arts schools manage, among other things:

  • members and families;
  • classes and schedules;
  • events;
  • attendance;
  • progression, grades and belts;
  • exams and promotions;
  • invoices, payments and receipts;
  • the pro shop;
  • communications;
  • consents;
  • documents;
  • the member portal;
  • reports and administrative tools.

The service is accessed mainly from app.dojomasterpro.ca.

Codamis Inc. may evolve, improve or modify the features of the service. Normal product improvements are included in the applicable subscription. Certain new features, integrations, third-party services or additional options may however be offered separately or involve additional fees. In that case, the fees are indicated before their activation.

2. Free trial

A new eligible Client may benefit from a 30-day free trial, without a credit card, unless otherwise indicated at sign-up. The trial allows use of DojoMasterPro's standard features, subject to features that require an external account or service.

At the end of the trial, the Client has 10 days to choose a plan. During that period, it may also ask support for a copy of the data it wishes to keep. Notices are sent before the scheduled deletion.

If no subscription is activated before that period expires, the account may be closed and active data deleted in accordance with our Privacy policy. Some copies may remain temporarily in backups until the end of their normal cycle.

Unless authorized by Codamis Inc., a given organization may benefit from only one free trial. Codamis Inc. may refuse or interrupt a trial in case of abuse, fraud or repeated creation of accounts intended to circumvent this rule.

3. Plans and active members

DojoMasterPro plans are billed in Canadian dollars, applicable taxes extra. The plans currently offered are:

  • Sempai — up to 49 active members;
  • Sensei — 50 to 99 active members;
  • Shihan — 100 active members and more.

Current prices are those shown on the Pricing page and in the application at the time of subscription. Unless otherwise indicated, the plans give access to the same main features and their price varies mainly with the number of active members.

DojoMasterPro does not block the addition of a member simply because the number of members temporarily exceeds the limit of the current plan.

The applicable plan may be adjusted at the next billing period according to the Client's number of active members. The Client is informed of the change before the charge when it results in a price increase.

The Client may at any time switch to a lower plan matching its membership, from the application; no downgrade is ever applied automatically.

No retroactive adjustment or proration is made for a period already billed, unless otherwise indicated.

4. Price changes

Codamis Inc. may change plan prices. For an existing subscriber, any price increase applicable to its subscription is subject to at least 30 days' notice, except when the change results directly from a modification requested by the Client, a plan change or a change in applicable taxes.

The Client may cancel its subscription before the new price takes effect.

5. Payment and renewal

The subscription is normally billed monthly in advance and renews automatically until cancelled.

Payment is processed by a payment provider identified at the time of the transaction. Codamis Inc. does not keep full card numbers or security codes.

The Client authorizes the payment provider to charge the payment method provided for the amounts due under the subscription.

Fees charged by external providers, including certain payment provider transaction fees or other optional services, are not included in the DojoMasterPro subscription unless otherwise indicated.

6. Cancellation

DojoMasterPro monthly subscriptions are offered with no minimum term commitment, unless otherwise clearly communicated before purchase.

The Client may cancel its subscription from the application or through the support process provided. Cancellation takes effect at the end of the period already paid. The Client normally keeps access to the service until that date.

The period already begun is not refunded on a pro rata basis, except where applicable law requires it or where a refund is expressly granted by Codamis Inc.

7. Declined or late payment

When a payment fails, the payment provider may retry the charge and DojoMasterPro may send notices to the Client. During that period, Codamis Inc. may limit certain features or display a payment notice.

If the amount remains unpaid for 30 days, Codamis Inc. may suspend or terminate the subscription.

Suspension of an account for non-payment does not mean the data is immediately deleted. The retention rules set out in the Privacy policy continue to apply.

8. Client data

The Client retains all rights it holds over the information, documents and other content it enters, uploads or administers in DojoMasterPro. Codamis Inc. acquires no ownership right over that data simply because it is hosted in DojoMasterPro.

The personal information contained in those records also remains subject to the rights of the people concerned under applicable laws.

The Client authorizes Codamis Inc. to host, back up, process, transmit and use the data only to the extent necessary to:

  • provide DojoMasterPro;
  • ensure the security and support of the service;
  • carry out the Client's instructions;
  • meet applicable legal obligations.

DojoMasterPro does not sell member or family records.

9. Retention and export of data

While its account is active, the Client may use the export features offered in DojoMasterPro.

A full export reads all of the school's data. So that the service stays fast for everyone, these exports are limited: one Excel file a day and one ZIP file a day, per school. Everyday exports — lists and reports — are not affected by this limit. Codamis Inc. may adjust these limits if usage were to harm the proper working of the service.

After a paid subscription ends, data is normally kept for 90 days to allow the Client to retrieve it or reactivate its account. When that period expires, active data may be deleted, subject to:

  • legal obligations;
  • documents that must be kept longer;
  • the normal backup cycle.

It is up to the Client to retrieve the data it needs before its permanent deletion. More detailed retention rules are set out in our Privacy policy.

10. Protection of personal information

DojoMasterPro may process personal information on behalf of Clients located anywhere in Canada. The Client remains responsible for determining the laws and obligations applicable to the information it collects in the course of its activities. Depending on the situation, the applicable requirements may stem from provincial privacy laws or from PIPEDA.

When DojoMasterPro processes member records on behalf of the Client, Codamis Inc. acts as a service provider and processes that information in accordance with these terms, its Privacy policy and the Client's legitimate instructions.

The Client remains responsible, in particular, for:

  • determining what information it is authorized to collect;
  • providing the required information to the people concerned;
  • obtaining the necessary consents;
  • determining who is authorized to access the records;
  • answering requests about its members' records;
  • determining the retention periods that apply to it.

DojoMasterPro provides tools intended to facilitate these obligations, but their availability does not constitute legal advice or an automatic guarantee of compliance.

11. Minors and sensitive information

The Client acknowledges that DojoMasterPro may contain information about children, teenagers or other vulnerable people, as well as certain sensitive information.

The Client must limit collection to what is reasonably necessary for its activities and ensure it holds the required authorizations.

The rules on minors' personal information may vary by province and must not be confused with the rules applicable to contracts, payments or other legal commitments.

Medical or otherwise sensitive information must be accessible only to people whose duties justify that access.

12. Client accounts and security

The Client must:

  • assign an individual account to each user;
  • choose appropriate roles and permissions;
  • keep its credentials confidential;
  • promptly remove access that is no longer needed;
  • use accurate and up-to-date contact details;
  • notify Codamis Inc. without delay when it suspects unauthorized access or a security incident.

The Client is responsible for the activities of its authorized users, except when the activity results directly from a failure attributable to Codamis Inc.

13. Communications

DojoMasterPro may allow the Client to send emails, notifications or other communications to its members. The Client remains responsible for:

  • the content of its communications;
  • its recipient lists;
  • the necessary consents;
  • unsubscribe mechanisms where required;
  • compliance with the laws applicable to electronic communications.

DojoMasterPro may provide technical information such as sent, delivered, opened or link-clicked statuses. This information consists of technical indicators and is not necessarily proof that a person read or took notice of the message.

14. Member payments and payment providers

DojoMasterPro may allow the Client to connect its own account with a supported payment provider. Unless otherwise agreed, the Client remains the merchant responsible for the payments made by its members. Funds intended for the Client are handled in accordance with the agreement between the Client and its payment provider.

The Client is responsible for:

  • its merchant account;
  • the fees imposed by its provider;
  • refunds;
  • disputes or chargebacks;
  • compliance with the provider's terms;
  • the tax obligations related to its own sales.

Codamis Inc. does not collect any commission on payments made by members to the Client.

Codamis Inc. is not responsible for an interruption, a declined transaction or a decision made by a payment provider, a financial institution or another independent provider.

15. Invoices, taxes and receipts

DojoMasterPro provides tools allowing the Client to create and manage invoices, payments, receipts and certain tax information. The Client remains responsible for determining:

  • the taxes it must collect;
  • whether an expense or activity is eligible for a tax credit or benefit;
  • the legal content of its receipts;
  • the amounts reported;
  • its accounting and tax obligations.

DojoMasterPro does not provide legal, tax or accounting advice. The settings provided by the software are intended to facilitate administration and must be verified by the Client according to its own situation.

16. Third-party services and integrations

Certain DojoMasterPro features depend on external services, including hosting, email delivery, payment processing or other integrations enabled by the Client. These providers may have their own terms of use, privacy policies, fees, technical limits and outages.

Codamis Inc. does not have complete control over these external services. An outage or change at a provider may therefore temporarily affect certain DojoMasterPro features. Where reasonably possible, Codamis Inc. seeks to limit the impact of such interruptions.

17. Availability, maintenance and support

Codamis Inc. takes reasonable measures to provide a reliable, secure and available service. We do not, however, guarantee uninterrupted availability or the total absence of errors.

Interruptions may be necessary for maintenance, updates, security, deployment of new versions, technical incidents or events beyond our control. When planned maintenance is likely to cause a significant interruption, Codamis Inc. makes reasonable efforts to inform Clients.

Support is offered in French and in English through the channels indicated in the application or on the DojoMasterPro site. Unless a separate service level agreement exists, no specific resolution time or minimum availability is guaranteed.

18. Acceptable use

The Client and its users must not:

  • use DojoMasterPro for illegal purposes;
  • attempt to access another Client's data;
  • circumvent security controls;
  • introduce malicious code;
  • deliberately disrupt the operation of the service;
  • perform unauthorized scanning, automated extraction or reverse engineering;
  • use the service to send illegal or abusive communications;
  • use DojoMasterPro in a way that infringes the rights of third parties.

Codamis Inc. may take the measures reasonably necessary to protect DojoMasterPro, its Clients and the information processed in it.

19. Intellectual property

DojoMasterPro, its software, code, architecture, interfaces, documentation, graphic elements and trademarks remain the property of Codamis Inc. or of their respective owners.

The Client receives a limited, non-exclusive and non-transferable right to use DojoMasterPro for the duration of its subscription, for its own activities. No ownership right in DojoMasterPro is transferred to the Client.

Comments, ideas or suggestions voluntarily submitted to Codamis Inc. about improving the product may be used to develop or improve DojoMasterPro, without transferring to the Client any ownership right in the resulting improvements. This provision gives Codamis Inc. no right over the Client's own data or content.

20. Suspension or closure of an account

Codamis Inc. may suspend all or part of the access when there is, among other things:

  • a payment default;
  • a significant security risk;
  • illegal use;
  • a material breach of these terms;
  • an attempt at unauthorized access to other systems or data.

Where circumstances allow, Codamis Inc. informs the Client and gives it a reasonable opportunity to correct the situation before a permanent closure. Immediate action may however be necessary when a security risk, a legal obligation or a threat to other users requires a quick response.

21. End of the DojoMasterPro service

If Codamis Inc. decides to permanently end the DojoMasterPro service as a whole, we make reasonable efforts to give Clients at least 90 days' notice. During that period, Clients may export their data.

Any portion of a subscription paid in advance for a period after the permanent closure of the service is refunded where applicable.

22. Liability

DojoMasterPro is an administrative management tool. Codamis Inc. does not guarantee, in particular, that the information entered by the Client is accurate, or that using the software is enough, on its own, to satisfy all of the Client's legal, tax, accounting, sports or regulatory obligations.

To the fullest extent permitted by applicable law, Codamis Inc. is not liable for indirect losses, lost profits, lost business opportunities or damages resulting from:

  • incorrect information provided by the Client;
  • non-compliant use of the service;
  • a decision made solely on the basis of information produced by DojoMasterPro;
  • an external service independent of Codamis Inc.

Subject to exclusions prohibited by law, the total liability of Codamis Inc. arising from these terms or from DojoMasterPro is limited to the total subscription fees actually paid by the Client to Codamis Inc. during the 12 months preceding the event giving rise to the claim.

Nothing in these terms limits or excludes liability where such a limitation or exclusion is prohibited by law, including in cases of intentional or gross fault or in any other situation where applicable law prohibits a limitation.

23. Events beyond our control

Neither party is liable for a delay or failure to perform resulting from an event reasonably beyond its control, including a natural disaster, a major telecommunications outage, a widespread interruption of an essential provider, a governmental act, a labour dispute or a major external cybersecurity event, subject to obligations that cannot legally be set aside.

The affected party must take reasonable measures to reduce the consequences of the event.

24. Changes to these terms

Codamis Inc. may amend these terms to reflect, among other things, the evolution of the service, of its providers or of legal requirements.

When a material change affects the rights or obligations of an existing Client, the Client receives reasonable notice, generally at least 30 days. If the Client refuses a substantial change, it may cancel its subscription before the change takes effect.

Changes that are solely favourable to the Client, purely technical or immediately necessary for security or compliance reasons may take effect sooner where circumstances justify it.

25. Governing law

These terms are governed by the laws applicable in the province of Québec and by the federal laws of Canada applicable therein, subject to the mandatory provisions of another jurisdiction that must necessarily apply.

Subject to the same reservation, any dispute relating to these terms falls under the jurisdiction of the competent courts of the province of Québec.

26. Language

A French version of these terms is available at all times. For Clients established in Québec to whom the rules on contracts of adhesion apply, the French version is made available in accordance with the applicable language requirements before another language is chosen, where required.

An English version may also be offered. When a Client expressly chooses to contract in another language where the law allows it, that choice is recorded by DojoMasterPro. The rights provided by applicable language laws remain fully preserved.

27. Entire agreement and severability

These terms, the Privacy policy and any document expressly incorporated into the agreement constitute the agreement applicable to the use of DojoMasterPro, subject to any specific agreement made in writing with Codamis Inc.

If a provision is declared invalid or unenforceable, the other provisions remain in force to the extent permitted by law.
